	To be an authorized affiliate of www.simplydinner.co.uk, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the www.simplydinner.co.uk service as an affiliate. By signing up for the www.simplydinner.co.uk affiliate program, you indicate your acceptance of this agreement and its terms and conditions. These Terms & Conditions apply for all participation in the simplydinner Affiliate Program. The simplydinner Affiliate Program (the “Program”) is operated by www.simplydinner.co.uk. Here, the terms “you” and “your” refer to you (the applicant), and the "sponsoring web site" refers to the web site from which you will link to simplydinner.co.uk pursuant to the Affiliate Program. 1. Description of Affiliate Program The Affiliate Program provides you the ability to earn commissions as compensation for distributing the simplydinner dating service (the “Service”) available at url www.simplydinner.co.uk and generating online dinner registration booking fees (“booking fees”) for the Service. To accomplish this, participants log in to the Affiliate area of the simplydinner web site and utilise a self-service web application to access simplydinner links, banner ads, and other integration elements that link to the simplydinner web site (collectively, the “Integrations”). Participants may include any or all such Integrations on their sponsoring web sites, subject to the limitations set forth herein. Users who link to the simplydinner web site via an Integration, and create a unique booking fee to the Service in the same session, are attributed to the participant that operates the relevant sponsoring web site. 2. Required Information: In order to join the Affiliate Program, you must enter the information required in the online application form. 3. Commission Fees simplydinner will pay you a commission fee (the “Commission Fee”) on each Qualifying booking fee attributed to you. “Qualifying” means a first-time booking fee made by a customer after linking to the simplydinner web site from the sponsoring web site via an Integration. The amount of the Commission Fee is set into 3 Payout Levels. Based on simplydinner’s standard booking fees prices as of June 1st 2010, the Commission Fees would be: Payout Level 1 – 30% Solo booking fee: Price - £14.00 30% Commission - £4.30 2 friends booking fee: Price - £20.00 30% Commission - £6.00 3 friends booking fee: Price - £24.00 30% Commission - £7.20 Payout Level 2 – 40% Solo booking fee: Price - £14.00 40% Commission - £5.60 2 friends booking fee: Price - £20.00 40% Commission - £8.00 3 friends booking fee: Price - £24.00 40% Commission - £9.60 Payout Level 3 – 50% Solo booking fee: Price - £14.00 50% Commission - £7.00 2 friends booking fee: Price - £20.00 50% Commission - £10.00 3 friends booking fee: Price - £24.00 50% Commission - £12.00 Upon joining the Program, you will begin on Payout Level One. Upon generating 20 unique booking fee transactions, you will automatically advance to Payout Level 2. Upon generating another 20 unique booking fee transactions you will automatically advance to Payout Level 3. Please note that the tables above are for illustrative purposes only, as simplydinner booking fees may change at any time without notice and at simplydinner’s sole discretion. In addition, simplydinner may offer special pricing and discounts at its sole discretion. Commission Fees are calculated based upon the actual booking fees paid. simplydinner has no obligation to revise these terms & conditions when it changes its subscription fees and/or offers special pricing or discounts. If a Qualifying booking fee for which a Commission Fee is paid to you is later refunded, the relevant Commission Fee will be deducted from the next payment sent to you. However, refunds will not be counted against the aggregate number of Qualifying booking fees in determining eligibility to advance up a Payment Level. Also be aware commission is not displayed until it has been approved. Please note that simplydinner reserves the right to change any of these terms and conditions, including the payment terms. Commission Fee Payments Payments are made on the 1st of the month providing the minimum payout balance of £50.00 in Commission Fees has been reached. If the balance is less, it will carry over from month to month until it reaches £50.00 The above also applies to the Tier System, which pays 20% Commission Fees of the standard Commission Fees of other Affiliates introduced by you, and linking to you through the Tier System. 4. Booking Fees Payment Processing simplydnner will be solely responsible for processing every booking, fee payment, cancellation and refund, and related customer service. All of the rules, operating procedures and terms & conditions of simplydinner regarding customer bookings will apply to all bookings simplydinner receives. simplydinner reserves the right to reject any booking that does not comply with its rules, operating procedures and/or terms & conditions. You are not permitted to make any exceptions to simplydinner’s rules, operating procedures or terms & conditions or otherwise communicate with customers about these rules except with simplydinner’s prior authorisation, which may be withheld at simplydinner’s sole discretion. 5. Tracking of Booking Fee sales simplydinner will be solely responsible for tracking booking fee sales. You may log-in to the Program at any time to view and monitor your account. To protect the privacy of simplydinner’s customers, any identifying information about customers will not be provided to you. All information about customers and users collected by simplydinner shall be exclusively available to simplydinner for its own purposes. 6. Copyrighted Material; Prohibitions on use of Integrations and simplydinner’s third-party materials You shall ensure that none of the materials utilised or displayed on the sponsoring web site, including your logo and preamble text, infringe upon the rights, including the intellectual property rights, of any third parties. You must have express permission to use another party's copyrighted material. simplydinner will not be responsible if you use another party's copyrighted material in violation of the law. Use of simplydinner Intellectual Property Contained in the Integrations: simplydinner owns all right, title and interest in and to all patents, copyright, trademarks, trade secrets, service marks, trade names and other intellectual property in the simplydinner web site, the Integrations and the Service and any software or other intellectual property provided by simplydinner. You shall not take any action inconsistent with such ownership by simplydinner, nor attempt to register any simplydinner Intellectual Property in any jurisdiction. simplydinner hereby grants you permission to use the simplydinner Intellectual Property contained in the Integrations, subject to simplydinner’s approval, for the express limited purpose of marketing under this Program. You shall not obtain or claim any right, title or interest in or to the simplydinner Intellectual Property, except the right of use as specified herein, and you acknowledge and agree that all such use shall inure to the benefit of simplydinner. You shall use the simplydinner Intellectual Property only as provided by simplydinner, and shall not alter the simplydinner Intellectual Property in any way. simplydinner shall have the right to monitor the quality of your use of the simplydinner Intellectual Property. Upon a request from simplydinner, you shall immediately cease use of any and all simplydinner Intellectual Property, on the sponsoring web site and elsewhere. 7. Web Site Service Interruption simplydinner will use commercially reasonable efforts to keep the simplydinner web site and the Service operational. However, certain technical difficulties may, from time to time, result in temporary service interruptions. You agree not to hold simplydinner liable for any of the consequences of such interruptions. 8. Termination of Program Either party may choose to cancel the Program at any time by written notice of cancellation to the other. Such cancellation will be effective immediately after such notice. Any remaining Commission Fees will be paid on the 1st of the following month, providing the termination of the Program is not due to any violation of these Terms & Conditions. In this event, no Commission Fees payout will apply. 9. Limitation of Damages simplydinner shall have no liability for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to the Program. Further, simplydinner’s aggregate liability arising under or with respect to the program shall in no event exceed the total Commission Fees paid or payable to you through the Program. BY SIGNING UP TO THE PROGRAM YOU ARE CONFIRMING YOUR FULL AGREEMENT TO THESE TERMS AND CONDITIONS.
